Litigo User Agreement

This Agreement governs the use of the Litigo Platform, a service designed to connect Australian Legal Professionals with qualified Paralegals to facilitate legal services. By accessing or using the Litigo Platform, You agree to be bound by this Agreement and all applicable policies.


Scope of Litigo Services

1            Task Advertisements

1.1             Litigo provides the Litigo Platform for the purpose of allowing Legal Professionals to post a Task Advertisement.

 

1.2             Legal Professionals may specify the price, estimated hours, and due date for a Task Advertisement.

 

1.3             Paralegals are able to make an Offer in response to a Task Advertisement, either accepting the proposed price and hours or suggesting alternatives.

 

1.4             Task Advertisements may be viewable by internet users who are not Users.

 

1.5             Legal Professionals may cancel or amend a Task Advertisement at their discretion until a Paralegal submits a Proposal.

 

1.6             Legal Professionals may cancel or amend a Task Advertisement at their discretion until a Paralegal submits an Offer.

 

1.7             Offers submitted by Paralegals may be withdrawn or modified by the Paralegal until accepted by a Legal Professional.

 

1.8             Litigo reserves the right to cancel all Offers on a Task prior to any modifications of Task Advertisements.

 

1.9             A Task Agreement is established when a Legal Professional accepts a Paralegal’s Offer, creating a binding contract between them.

 

1.10         Upon formation of a Task Agreement, the Legal Professional’s nominated payment method will be charged the Agreed Amount, as specified in the agreed Offer.

 

1.11         Upon the formation of the Task Agreement. Litigo’s Service Fee becomes due and payable. The Service Fee is deducted from the Agreed Amount. The amount following deduction of the Service Fee becomes the Agreed Amount Balance.

 

1.12         If the payment for the Agreed Amount fails, Litigo reserves the right to cancel the Task Agreement.

 

1.13         The Agreed Amount Balance is held in escrow by Litigo until the Legal Professional marks the task as complete on the Litigo Platform.

 

1.14         Once the task is marked as completed by the Legal Professional, the Agreed Amount Balance will be released to the nominated bank account of the Paralegal. Litigo encourages Paralegals to keep detailed evidence of the Task being performed. For example, if the Task is one of a legal research nature, the Paralegal when emailing the Legal Professional with their findings should include each search term used.

 

1.15         Litigo reserves the right to release the funds held in escrow if there is sufficient evidence that the Task has been completed.

 

1.16         Upon Task completion, Legal Professionals and Paralegals are encouraged to provide reviews, feedback, and ratings of each other on the Litigo Platform.

 

2                   Paralegal Advertisements

2.1             Paralegals may create Paralegal Advertisements on the Litigo Platform, specifying their hourly rate and availability for legal services.

 

2.2             Legal Professionals may book a Paralegal’s services by selecting the "Book Now” button on a Paralegal Advertisement.

 

2.3             Paralegals must maintain an up-to-date availability calendar on their profile, which will be displayed in their Paralegal Advertisement. Legal Professionals should review this calendar before booking.

 

2.4             A Task Agreement is formed when a Legal Professional accepts a Paralegal’s Offer via a Paralegal Advertisement, assigning the Task to that Paralegal.

 

2.5             Paralegals may modify or withdraw a Paralegal Advertisement, including availability, until a Legal Professional accepts their Proposal.

 

2.6             6 If before the beginning of the performance of a Task requested by the Legal Professional in response to a Paralegal Advertisement, the Paralegal becomes unable to perform the Task, it is their duty to notify the Legal Professional as soon as possible. Litigo reserves the right to terminate a Paralegal’s account for providing no or considerably late notice about the inability to perform a Task, or repeated instances of cancelling Tasks once the Legal Professional agrees to the offer under the Paralegal Advertisement.

 

3                   Paralegal Sponsored Package

3.1             Paralegals may subscribe to the Sponsored Package for a monthly Subscription Fee, as detailed in the "Sponsored Package” section of the Paralegal’s dashboard.

 

3.2             Benefits of the Sponsored Package are outlined in the "Sponsored Package” section of the Paralegal’s dashboard.

 

3.3             The Subscription Fee is specified in the "Sponsored Package” section of the Paralegal’s dashboard.

 

3.4             A Sponsored Package Agreement is formed when a Paralegal selects "buy” and pays the Subscription Fee.

 

3.5             Paralegals may opt for recurring monthly payments for the Sponsored Package, automatically deducted via their nominated payment method, or pay monthly without recurrence.

 

3.6             Paralegals may cancel the Sponsored Package Agreement at any time, with benefits continuing until the end of the paid month.

 

3.7             Litigo reserves the right to cancel a Sponsored Package Agreement with a Paralegal if the payment of the Subscription Fee by the Paralegal is not successful.

 

 

Litigo Users

4                   User Obligations

4.1             You must:

a)     Comply with this Agreement, all Policies, and applicable Australian laws and regulations.

b)    Provide accurate and current information on the Litigo Platform.

c)     Ensure that You are aware of any laws that apply to you as a Legal Professional or Paralegal, or in relation to Your use of the Litigo Platform.

 

4.2        Information provided by Users in Task Advertisements, Proposals, or Paralegal Advertisements must be accurate, lawful, and free from content that is:

a) false, misleading, deceptive, or fraudulent.

b) Infringing on third-party intellectual property, publicity, confidentiality, or privacy rights.

c) Violating any law, including consumer protection, anti-discrimination, or fair trading laws.

d) Defamatory, threatening, harassing, or obscene.

e) Containing malicious code or data that could harm the Litigo Platform or its Users.


4.3        Paralegals must not charge Legal Professionals additional fees beyond the Agreed Amount Balance unless agreed through the Litigo Platform.

 

4.4        If a Paralegal incurs costs (e.g., for research tools) to complete a Task, they are responsible for obtaining reimbursement from the Legal Professional, with correspondence conducted via the Litigo Platform. Paralegals are advised not to incur costs without confirmed reimbursement agreements.

 

4.5        If Litigo determines that a User has breached this section or a Task Agreement, it may remove content, cancel Task Advertisements or Proposals, or suspend or terminate the User’s account.

 

5                   Task Services

 

5.1            The Services performed by Paralegals under any Task Agreement does not in any way constitute the performance of legal services.

 

5.2            If you are a Legal Professional using the Litigo Platform, it is solely your responsibility to verify the accuracy, legality and appropriateness of any content, research, or other work provided by a Paralegal in connection to the Services provided under a Task Agreement, before relying on it in the course of legal practice.

 

5.3            You acknowledge and agree that Litigo accepts no responsibility or liability for the content, accuracy, or legality of any content, research, or other work provided by a Paralegal in connection to the Services provided under a Task Agreement.

 

 

6                   Dispute Resolution Process


6.1             Litigo encourages Users to a Task Agreement to try and cooperate with each other to make genuine attempts to resolve disputes directly.

 

6.2             Litigo may, at its discretion, share User contact details with the other party to facilitate dispute resolution.

 

6.3             Users may refer unresolved disputes to Litigo, and Users must cooperate with Litigo’s investigation.

 

6.4             Litigo may make a final determination based on information provided by Users and direct payment accordingly.

 

6.5             Users may pursue disputes in an applicable Australian court or tribunal.

 

6.6             Litigo may hold the Agreed Amount in escrow until a dispute is resolved.

 

6.7             Information provided by Litigo for dispute resolution must be used solely for that purpose, and Users are liable for any costs or losses incurred by Litigo due to misuse of such information.

 

 

Litigo’s Role, Obligations and Limitations

7                   Litigo’s Obligations and Limitations

 

7.1             Litigo provides the Litigo Platform in exchange for the Service Fee.

 

7.2             Litigo only permits individuals over 18 years of age to become Users.

 

7.3             Litigo may, at its discretion, refuse, suspend, or terminate any User account if it reasonably believes the User’s conduct breaches this Agreement or harms the Litigo Platform’s operation.

 

7.4             Litigo accepts no liability for any aspect of the Legal Professional and Paralegal interaction, including but not limited to the description and performance of Tasks.

 

7.5             Litigo is not responsible for, and does not warrant the truth or accuracy of any aspect of any information provided by Users, including, but not limited to, the ability of Paralegals to perform Tasks, or the honesty or accuracy of any information provided by Legal Professionals or the Legal Professionals’ ability to pay for the Task requested.

 

7.6             Litigo has no obligation to mediate disputes between Users but may do so to enhance User experience.

 

7.7             You acknowledge that:

 

a)      Litigo does not conduct background checks, including criminal, qualification, or suitability checks, on Users before they join the platform.

b)      Users are solely responsible for verifying the qualifications, licenses, or suitability of other Users before engaging in a Task Agreement.

c)      Users assume all risks related to Task Agreements and release Litigo from liability for any loss, injury, damage, or costs arising from services provided or received.

 

 

8                   Service Charges and Payments

 

8.1             Litigo charges a Service Fee in relation to all Task Agreements. This is charged at the time in which the Task Agreement is formed.

 

8.2             The Service Fee includes Goods and Services Tax (GST).

 

8.3             Subject to other clauses in this Agreement, all fees payable to Litigo are noncancellable and non-refundable.

 

8.4             You agree that Litigo reserves the right to amend its Service Fee from time to time. Any changes to Litigo’s Fees will be updated on the Litigo Platform.

9                   Cancellations and Refunds

 

9.1             If a Task Agreement is cancelled before commencement, the Agreed Amount may be refunded to the Legal Professional’s Litigo Wallet if Litigo determines a refund is warranted.

 

9.2             If a Task Agreement is cancelled after commencement but before completion, the Agreed Amount Balance may be refunded to the Legal Professional, subject to the Dispute Resolution Process in Clause 6.

 

10               Litigo Wallet

 

10.1         Users may at any time add funds to their Litigo Wallet by depositing the equivalent monetary value via the Litigo Platform.

 

10.2         Litigo Wallet funds:

 

a)      May be used by Legal Professionals to pay for Services via the Litigo Platform

b)      Are non-refundable and non-redeemable for cash, except upon written request to Litigo for return to the original payment method.

c)      Are not transferable between Litigo accounts.

 

10.3         Litigo may refuse or cancel Litigo Wallet funds suspected to be obtained fraudulently and may refer such activity to law enforcement.

 

10.4         If Litigo Wallet funds have been issued to a User’s Litigo Wallet due to a cancellation of a Task Agreement by the other party to the Task Agreement, these Litigo Wallet Funds will expire twelve (12) months after they have been issued to the account. Litigo is entitled to any value on Litigo Wallet funds that have expired.

 

11               Payment Facility

 

11.1         Litigo uses a Payment Provider to manage the Payment Account.

 

11.2         Terms at https://stripe.com/ssa/ are incorporated into this Agreement for Payment Account operations and prevail over conflicting terms.

 

11.3         If Litigo changes its Payment Provider, Users may be required to agree to additional terms or be offered alternative payment methods.

 

12               Termination of Account or Agreement

 

12.1         You or Litigo may terminate a User account or this Agreement at any time for any reason.

 

12.2         Termination does not affect existing Task Agreements.

 

12.3         If a User’s account is terminated, they may not create new accounts on the Litigo Platform without Litigo’s consent.

 

13               Verification of Qualifications

 

13.1         Paralegals must provide evidence of enrolment in a Bachelor of Laws (LLB) or Diploma of Paralegal Services (BSB50720) to register as a User.

 

13.2         Legal Professionals must provide evidence of their status as an Australian legal practitioner or law practice.

 

14               Data Protection and Privacy

 

14.1         Litigo complies with the Privacy Act 1988 (Cth) in handling Personal Information, as outlined in the Litigo Privacy Policy.

 

14.2         Users consent to Litigo collecting, storing, and processing their Personal Information in accordance with the Litigo Privacy Policy.

 

14.3         Litigo implements reasonable technical and organizational measures to protect Personal Information from unauthorized access or loss.

 

15               Confidentiality

 

15.1         Paralegals and Legal Professionals must maintain the confidentiality of sensitive information shared during a Task Agreement, including client data or legal documents, in accordance with Litigo’s Non-Disclosure Agreement.

 

16               Tax Compliance

 

16.1         Paralegals are responsible for complying with all tax obligations, including Goods and Services Tax (GST), related to payments received under Task Agreements.

 

16.2         Legal Professionals must ensure payments made through the Litigo Platform include any applicable GST, as displayed at the time of forming a Task Agreement.

 

17               Platform Modifications

17.1         Litigo may modify the Litigo Platform’s functionality or features at any time, with notice provided to Users via email.

 

16.2     Continued use of the Litigo Platform after such modifications constitutes acceptance of the updated functionality.

 

18               Modification to the Agreement

 

18.1         Litigo may amend this Agreement or Policies, with material changes notified to Users via email or the Litigo Platform.

 

18.2         Continued use of the Litigo Platform, including engaging in Task Agreements, constitutes acceptance of amended terms.

 

18.3         This Agreement constitutes the entire understanding between the User and Litigo regarding its subject matter.

 

 

19               Miscellaneous

19.1         This Agreement is governed by the laws of Australia and the Australian state where the Task Agreement is formed.

 

19.2         If any provision of this Agreement is invalid or unenforceable, it may be severed, and the remaining provisions remain enforceable.

 

19.3         This Agreement constitutes the entire understanding between the User and Litigo regarding its subject matter.

 

19.4         This Agreement does not establish any agency, partnership, employment, or joint venture relationship between Litigo and Users. Users have no authority to bind Litigo in any way whatsoever.

 

Glossary of Terms:

Agreement – this agreement between Litigo and a User.

Agreed Amount – the total payment, including any agreed modifications, deposited by the Legal Professional into the Payment Account for paralegal services, excluding Litigo’s Service Fee and any additional costs agreed to be reimbursed by the Legal Professional.

Agreed Amount Balance the Agreed Amount less Litigo’s Service Fee.

Legal Professional – any of the following persons using the Litigo Platform to search for Services:

a) An ‘Australian legal practitioner’ as defined by section 6 of the Legal Profession Uniform Law (NSW); or

b) A ‘law practice’ as defined by section 6 of the Legal Profession Uniform Law (NSW).

Task Advertisement – a Legal Professional’s request for Services published on the Litigo Platform, including the deadline, price, description, and location of the Services.

Litigo, ‘we’, ‘us’ or ‘our’– Litigo Pty Ltd ACN XXX

Litigo Platform – The website at https://www.litigo.com.au, Litigo desktop app, and any other affiliated platforms introduced from time to time.

User – A person who has registered to use the Litigo Platform as a Legal Professional, Paralegal, or otherwise.

Litigo Wallet: An account feature on the Litigo Platform where Users can deposit and hold funds for use in paying for Services or receiving payments for completed Tasks.

Paralegal – An individual studying a Bachelor of Laws (LLB) or Diploma of Paralegal Services (BSB50720) at a recognized Australian institution, using the Litigo Platform to provide Services.

Paralegal Advertisement – A Paralegal’s posting on the Litigo Platform, including hourly rate, availability, and description of Services offered.

Payment Account – The account operated by the Payment Provider.

Payment Provider – An entity appointed by Litigo to manage the Payment Account, including accepting and making payments to Users.

Personal Information – Information about an individual that can be used to identify them, as defined under the Privacy Act 1988 (Cth).

Policies– Policies posted by Litigo on the Litigo Platform, including the Litigo Privacy Policy.

Offer– A Paralegal’s offer in response to a Legal Task Posting to perform Services.

Service Fee – The fee payable by the Legal Professional to Litigo for use of the Litigo Platform, deducted from the Agreed Amount upon Task Agreement formation and displayed to Users beforehand.

Services – The paralegal services described in a Legal Task Posting or Paralegal Advertisement, including any agreed variations.

Sponsored Package – A subscription service for Paralegals, as outlined in Clause 3.

Subscription Fee – The fee charged for the Sponsored Package, as outlined in Clause 3.

Task Agreement – Acontract formed between a Legal Professional and a Paralegal upon acceptance of a Proposal for Services.
